Acceptance of Terms

By accessing or using the VigilAI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. Please also review our Privacy Policy.

Service Description

VigilAI is a B2B SaaS platform that provides AI-powered vendor risk analysis for financial services compliance teams. The Service includes:

  • Automated adverse media screening across public news sources
  • AI-powered risk classification and severity assessment of news articles
  • Analyst workflow tools for article disposition, notes, and risk type editing
  • Scheduled monitoring for ongoing vendor surveillance
  • Report generation and distribution via email, PDF, and CSV export
  • Organization and user management with role-based access controls

Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information to keep it accurate and complete
  • Keep your login credentials confidential and not share them with others
  • Immediately notify us of any unauthorized use of your account or any other breach of security
  • Ensure that all users within your organization comply with these Terms when accessing the Service through your organization's account

Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law
  • Conduct searches or generate reports for the purpose of harassment, defamation, or any unlawful activity
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems or networks connected to the Service
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Resell, sublicense, or redistribute the Service or its outputs without prior written consent from VigilAI
  • Use automated means (bots, scrapers) to access the Service beyond the provided API interfaces

Intellectual Property

The Service, including its original content, features, functionality, and underlying technology, is and remains the exclusive property of VigilAI and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data you input into the Service. By using the Service, you grant VigilAI a limited license to process your data solely for the purpose of providing the Service to you.

Reports and outputs generated by the Service are provided for your internal business use. AI-generated classifications, summaries, and risk scores are derived from publicly available information and do not constitute VigilAI's proprietary content.

AI Disclaimer

VigilAI uses artificial intelligence to assist with vendor risk analysis, including risk type classification, severity assessment, and article summarization. You acknowledge and agree that:

  • AI-generated analysis is provided as a decision-support tool and is not a substitute for professional judgment, legal advice, or regulatory guidance
  • AI classifications and risk scores may contain inaccuracies, and human review is recommended before making compliance decisions based on AI outputs
  • VigilAI does not guarantee the completeness, accuracy, or timeliness of AI-generated content
  • You are solely responsible for any compliance decisions made using information provided by the Service
  • The Service aggregates publicly available information and does not create or verify the underlying news content

Limitation of Liability

To the maximum extent permitted by applicable law, VigilAI and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.

In no event shall VigilAI's total aggregate liability exceed the amount you paid to VigilAI for the Service during the twelve (12) months preceding the event giving rise to the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon termination:

  • Your right to use the Service will immediately cease
  • You may request an export of your data within 30 days of account closure
  • We will retain your data in accordance with our Privacy Policy and applicable legal requirements
  • Any outstanding fees for the current billing period remain payable

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you are entitled to bring a claim in small claims court.
